Mobile Banking Enrollment Terms and Conditions

END USER TERMS

This service is provided to you by Wilmington Savings Fund Society, FSB ("WSFS") and powered by a Third Party ("Licensor") mobile technology solution. Section A of this End User Terms and Conditions Agreement is a legal agreement between you and WSFS. Section B of this End User Terms and Conditions Agreement is a legal agreement between you and the Licensor.

SECTION A

WSFS TERMS AND CONDITIONS

Thank you for using WSFS Mobile Banking (the "Service") combined with your handheld's text messaging capabilities. For help, text "HELP" to 79680. To cancel your Service, text "STOP" to 79680 at any time. In case of questions, please contact Customer Service at wsfsonlinebanking@wsfsbank.com or call 1-888-973-7226.

These Terms and Conditions provide additional information governing the use of the Service and supplement the Online Banking Agreement (a copy is available at http://www.wsfsbank.com/disclosures.asp). If there is a conflict between this section and the Online Banking Agreement, this section will control. WSFS is offering the Service to all of its retail and small business customers using WSFS's Consumer Online Banking service and using compatible data-enabled equipment such as a cellular phone or other recognized mobile device. When customers enroll in the Service they will be able to obtain account information using a mobile device. The Service consists of five separate services, one or more of which can be selected by you:

1. Downloadable Application: an application that is downloaded to your mobile device (smart phone or tablet). This application, provided by a third party service provider, runs on your mobile device, allowing you to sign on to WSFS Mobile Banking and to access and interact with your eligible WSFS accounts. Currently, this service will allow you to view account balances, view account transaction history, pay pre-established bills, transfer funds, send money using Zelle, WSFS Mobile Cash and find a WSFS ATM/branch location. Transferring funds, sending money and paying pre-established bills must first transact within WSFS Online Banking prior to utilizing WSFS Mobile Banking. Business Accounts are not eligible for Zelle.

2. Mobile Web Banking: provides the ability to access and interact with your eligible WSFS accounts without downloading an application. Currently, this service will allow you to view account balances, view account transaction history, pay pre-established bills, transfer funds, send money using Zelle and find an ATM/branch location. Transferring funds, sending money and paying pre-established bills must first transact within WSFS Online Banking prior to utilizing WSFS Mobile Banking. Business accounts are not eligible for Zelle.

3. Text Message Alerts: enables you to have text message (also known as "short message service") versions of selected WSFS alerts concerning your eligible accounts delivered to your cell phone or mobile device.

4. Text Message Banking: provides the ability to send certain text message commands to WSFS (79680) to obtain account balances and view account transaction history.

5. WSFS Snapshot Deposit: designed to allow you to make deposits to your checking, savings, or money market accounts from home or other remote locations by taking photographs of checks and delivering the images and associated deposit information to WSFS's third-party processor. You will need to download the application in order to use this service.

6. WSFS Mobile Cash permits you to withdrawal cash from certain ATM terminals as designated by us. You will need to have an eligible debit card and download the application in order to use this service.

General Terms and Conditions

Use of Mobile Devices

The identification of a cellular phone or other device as a recognized mobile device for use with the Service does not constitute a recommendation, endorsement, or any representation or warranty of any kind by WSFS regarding the performance or operation of such device. The selection of a mobile device is your sole responsibility and all issues relating to the operation, performance, and costs associated with such device are between you and your wireless telecommunications provider.

Registration

You can first register for the Service by using your WSFS Online Banking credentials to login to the Service. You agree to provide true, accurate, current, and complete information as requested in registering for the Service. You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Service. You agree not to use any personally identifiable information when providing shortcuts or creating nicknames for your eligible accounts.

Software Usage

You agree that your use of the Service and all related software ("Software") provided to you by WSFS will be limited solely to access and use the Service, and you agree not to decompile or reverse engineer or otherwise alter the Software in any way. WSFS uses a Licensor that is not affiliated with WSFS to provide certain licensed Software to support the Service.

Fees

WSFS does not currently charge a fee for using the Service. Any fee that is charged will be disclosed prior to your deposit and on the deposit fee schedule. WSFS may change the fees for use of WSFS Snapshot Deposit at any time. We will provide you with reasonable notice of such change as required by law. You authorize WSFS to deduct any such fees from any WSFS account in your name. Your wireless telecommunications provider for your mobile device may impose extra fees in order to make such device data-capable and to exchange data between the mobile device and the Service. Further, if you subscribe to the Text Message Alerts service, standard text messaging (also referred to as SMS messaging) fees from your wireless telecommunications provider may apply. Please check with your wireless telecommunications provider before subscribing to the Service.

Lost Phone Policy; Limited Liability; Interruption of Service

In the event your enrolled mobile or cellular device is lost or stolen, you agree to update your enrollment information and make the appropriate changes to disable the use of such devices. You understand that there are risks associated with using a mobile device, and that in the event of theft or loss, your confidential information could be compromised.

WSFS provides the Service "AS IS" and "AS AVAILABLE" and without warranty or guarantee.

You acknowledge and agree that from time to time, the service may be delayed, interrupted, or disrupted periodically for an indeterminate amount of time due to WSFS system maintenance, or outages, or to circumstances beyond WSFS's reasonable control including, but not limited to, any inaccuracy, interruption or delay in transmission by the telecommunications carrier used in conjunction with the mobile device you use to access the service, or any interruption, disruption, or failure in the provision of the service, whether caused by strikes, power failures, equipment malfunctions, or other reasons. WSFS and its Licensor shall not be liable for any claim arising from or related to the Service caused by or arising out of any such delay, interruption, disruption, or similar failure. In no event will WSFS or any affiliate, third party service providers, or Licensor be liable for indirect, consequential, or special damages, including lost profits, arising from your use of the Service, even if such damages were reasonably foreseeable and notice was given regarding them. These limitations will apply to all causes of action, whether arising from breach of contract, tort (including negligence), or any other legal theory.

The third party service provider for WSFS Mobile Banking is Fidelity National Information Services, Inc.

WSFS Snapshot Deposit Terms and Conditions

Eligible deposited items

You agree to take photographs and deposit only "checks" as that term is defined in Federal Reserve Regulation CC ("Reg. CC"). When the image of the check transmitted to WSFS is converted to an Image Replacement Document for subsequent presentment and collection, it shall thereafter be deemed an "item" within the meaning of Articles 3 and 4 of the Uniform Commercial Code.

You agree that you will not take photographs and deposit any of the following types of checks or other items, which shall be considered ineligible items:

1. Checks payable to any person other than the person that owns the account into which the check is being deposited.

2. Checks containing an alteration on the front of the check or item, or which you know or suspect, or should know or suspect, are fraudulent or otherwise not authorized by the owner of the account on which the check is drawn.

3. Checks payable jointly, unless deposited into an account in the name of all payees.

4. Checks previously converted to a substitute check, as defined in Reg. CC.

5. Checks drawn on a financial institution located outside the United States.

6. Checks that are remotely created checks, as defined in Reg. CC.

7. Checks not payable in United States currency.

8. Checks dated more than 6 months prior to the date of deposit.

9. Checks or items prohibited by WSFS's terms and conditions relating to Snapshot Deposit, or which are otherwise not acceptable under the terms of your WSFS account.

10. Checks payable on sight or payable through Drafts, as defined in Reg. CC.

11. Checks with any endorsement on the back other than that specified in this agreement.

12. Checks that have previously been submitted through Snapshot Deposit or through a remote deposit capture service offered at any other financial institution.

13. Checks or items that are drawn or otherwise issued by the U.S. Treasury Department.

14. Traveler's checks, U.S. savings bonds, or void and/or duplicate checks.

Endorsements and Procedures for deposits

You agree to restrictively endorse any item transmitted through Snapshot Deposit as "For mobile deposit only, account #______" or as otherwise instructed by WSFS. You agree to follow any and all terms and conditions for use of Snapshot Deposit as WSFS may establish from time to time.

Receipt of Deposited Items

WSFS reserves the right to reject any item transmitted through Snapshot Deposit, at our discretion, without liability to WSFS. WSFS is not responsible for items it does not receive or for images that are dropped during transmission. An image of an item shall be deemed received when you receive a confirmation from WSFS that it has received the image. Receipt of such confirmation does not mean that the transmission was error free, complete, or will be considered a deposit and credited to your account. WSFS further reserves the right to charge back to your account at any time any item that WSFS subsequently determines was not an eligible item. You agree that WSFS is not liable for any loss, costs, or fees you may incur as a result of WSFS's chargeback of an ineligible item.

Availability of Funds

In general, if an image of an item you transmit through Snapshot Deposit is received and accepted before 7:00 p.m. Eastern Time on a business day that WSFS is open, WSFS considers that day to be the day of your deposit. Otherwise, WSFS will consider that the deposit was made on the next business day WSFS is open. Funds deposited using Snapshot Deposit will generally be made available in the next business day from the day of deposit. In some cases, WSFS may delay your ability to withdraw funds beyond the first business day. Depending on the type of check that you deposit, funds may not be available until the fifth business day after the day of deposit. The first $200 of your deposits, however, may be available on the first business day.

If WSFS does not make all of the funds from your deposit available on the first business day, we will mail you the notice by the day after we receive your deposits. The notice will disclose when the funds will be available.

Disposal of Transmitted Items

Upon your receipt of a confirmation from WSFS that we have received an image that you have transmitted, you agree to retain the check for at least 180 calendar days from the date of the image transmission. After the check is approved, you agree to mark it "VOID," or otherwise render it incapable of further transmission, deposit, or presentment. During the time the retained check is available, you agree to promptly provide it to WSFS upon request.

Deposit Limits

WSFS may establish limits on the dollar amount and/or number of items or deposits from time to time. If you attempt to initiate a deposit in excess of these limits, WSFS may reject your deposit. If WSFS permits you to make a deposit in excess of these limits, such deposit will still be subject to the terms of this agreement, and WSFS will not be obligated to allow such a deposit at other times. The current dollar limit is $10,000.00 per day or $25,000 within twenty (20) consecutive business days for retail banking clients.

Presentment

The manner in which the items are cleared, presented for payment, and collected shall be subject to the Account Agreement governing your WSFS account.

Errors

You agree to notify WSFS of any suspected errors regarding items deposited through Snapshot Deposit right away, and in no event later than thirty (30) days after the applicable WSFS account statement is sent. Unless you notify WSFS within thirty (30) days, such statement regarding all deposits made through Snapshot Deposit shall be deemed correct, and you are prohibited from bringing a claim against WSFS for such alleged error.

Errors in Transmission

By using Snapshot Deposit you accept the risk that an item may be intercepted or misdirected during transmission. WSFS bears no liability to you or others for any such intercepted or misdirected items or information disclosed through such errors.

Image Quality

The image of an item transmitted to WSFS using Snapshot Deposit must be legible, as determined in the sole discretion of WSFS. Without limiting the foregoing, the image quality of the items must comply with the requirements established from time to time by WSFS, ANSI, the Board of Governors of the Federal Reserve Board, or any other regulatory agency, clearinghouse, or association.

User Warranties and Indemnification

You warrant to WSFS that:

a. You will only transmit eligible items.

b. You will not transmit duplicate items.

c. You will not re-deposit or re-present the original item.

d. All information you provide to WSFS is accurate and true.

e. You will comply with this agreement and all applicable rules, laws, and regulations.

f. You are not aware of any factor that may impair the collectability of the item.

g. You agree to indemnify and hold harmless WSFS from any loss for breach of this warranty provision.

Cooperation with Investigations

You agree to cooperate with WSFS in the investigation of unusual transactions, poor quality transmissions, and resolution of customer claims, including (without limitation) by providing, upon request and without further cost, any originals or copies of items deposited through Snapshot Deposit in your possession and your records relating to such items and transmissions.

Additional Terms for WSFS Mobile Cash.

These additional terms govern ATM cash withdrawals using a mobile device ("WSFS Mobile Cash"). WSFS Mobile Cash permits you to withdraw cash from certain WSFS ATM terminals as designated by us using the downloaded app from a compatible mobile device that is Internet (Web) enabled, as specified by us.

ATM Withdrawals.

If you have an eligible debit card with your WSFS deposit account, WSFS Mobile Cash may be used to withdraw funds only at select WSFS ATMs, as specified by us from time to time. Your mobile device will be automatically linked to your debit card, and the limitation on the frequency or dollar amount of ATM cash withdrawals for your debit card set forth in the WSFS Debit Card Agreement will apply to any cash withdrawals made using your mobile device to the same extent as any cash withdrawals made using your debit card, which will be aggregated together for purpose of these limits. For example, if the daily ATM cash withdrawal limit for your debit card is $500 and you insert or swipe your debit card at an ATM and withdraw $200 from your Account, then you will only be able to withdraw a maximum of $300 from your Account on that same day using the WSFS Mobile Cash Services.

Liability.

You authorize us without further inquiry to charge your account for all cash withdraws at an ATM initiated through the use of your mobile device, and you agree, except as otherwise required by applicable law, that you will be liable for all cash withdrawals utilizing the WSFS Mobile Cash Service. The procedures for handling unauthorized transactions, and your liability for such transactions, will be the same as a transaction initiated with an ATM or debit card issued by us, and are set forth in WSFS Debit Card Agreement.

SECTION B

END USER LICENSE AGREEMENT TERMS FOR THE DOWNLOADABLE APP

To be Agreed to by End User Prior to Use of the Downloadable App

1. Ownership. You acknowledge and agree that a third party provider or licensor to your financial services provider ("Licensor") is the owner of all right, title and interest in and to the downloaded software to be used for access to mobile banking services from your financial services provider and the computer programs contained therein in machine readable object code form as well as any accompanying user documentation along with all subsequent copies, updates or versions thereof which are made available to you (if any), regardless of the media or form in which they may exist (collectively the "Software").

2. License. Subject to the terms and conditions of this Agreement, you are hereby granted a limited, nonexclusive license to use the Software in accordance with the terms of this Agreement. All rights not expressly granted to you by this Agreement are hereby reserved by the owner of the Software. Nothing in this license will entitle you to receive hard-copy documentation, technical support, telephone assistance, or updates to the Software. This Agreement may be terminated at any time, for any reason or no reason. Upon termination, you agree to immediately destroy all copies of the Software in your possession or control.

3. Restrictions. You shall not: (i) modify, revise or create any derivative works of the Software; (ii) decompile, reverse engineer or otherwise attempt to derive the source code for the Software; (iii) redistribute, sell, rent, lease, sublicense, or otherwise transfer rights to the Software; or (iv) remove or alter any proprietary notices, legends, symbols or labels in the Software, including, but not limited to, any trademark, logo or copyright.

4. Disclaimer Warranty. THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGMENT. NO WARRANTY IS PROVIDED THAT THE SOFTWARE WILL BE FREE FROM DEFECTS OR VIRUSES OR THAT OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED. YOUR USE OF THE SOFTWARE AND ANY OTHER MATERIAL OR SERVICES DOWNLOADED OR MADE AVAILABLE TO YOU THROUGH THE SOFTWARE IS AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE RESULTING FROM THEIR USE.

5. Limitations of Warranty. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR , THE PROVIDER OF ANY FINANCIAL SERVICES AVAILABLE THROUGH OR RELATED TO THE SOFTWARE, ANY OF THEIR CONTRACTORS OR PROVIDERS OR ANY OF EACH OF THEIR AFFILIATES BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY GENERAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH ANY CLAIM IS BASED. IN ANY CASE, LIABILITY OF LICENSOR OR ANY OF THE OTHER PERSONS OR ENTITIES DESCRIBED IN THE PRECEDING SENTENCE ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE SHALL NOT EXCEED IN THE AGGREGATE THE LESSER OF $10.00 OR THE SUM OF THE FEES PAID BY YOU FOR THIS LICENSE.

6. U.S. Government Restricted Rights. The Software is commercial computer software subject to RESTRICTED RIGHTS. In accordance with 48 CFR 12.212 (Computer software) or DFARS 227.7202 (Commercial computer software and commercial computer software documentation), as applicable, the use, duplication, and disclosure of the Software by the United States of America, its agencies or instrumentalities is subject to the restrictions set forth in this Agreement.

7. Miscellaneous. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof. This Agreement will be governed by and construed in accordance with the laws of the state of Florida excluding that body of laws pertaining to conflict of laws. If any provision of this Agreement is determined by a court of law to be illegal or unenforceable, such provision will be enforced to the maximum extent possible and the other provisions will remain effective and enforceable. All disputes relating to this Agreement are subject to the exclusive jurisdiction of the courts of Florida and the parties expressly consent to jurisdiction and venue thereof and therein. The parties confirm that this Agreement and all related documentation is and will be in the English language. The application of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly waived and excluded.

8. Content and Services. Neither Licensor nor the provider of the wireless network is the provider of any financial services available through or related to the Software, and neither Licensor nor the provider of the wireless network or any contractor of the provider of the financial services available through or related to the Software, is responsible for any of the materials, information, products or services made available to you via the Software.

SECTION C

Zelle Network® Standard Terms

1. Description of Services

 a. We have partnered with the Zelle Network ("Zelle") to enable a convenient way to transfer money between you and others who are enrolled directly with Zelle® or enrolled with another financial institution that partners with Zelle (each, a "User") using aliases, such as email addresses or mobile phone numbers (the "Service"). We will refer to financial institutions that have partnered with Zelle as "Network Banks."

 b. Zelle provides no deposit account or other financial services. Zelle neither transfers nor moves money. You may not establish a financial account with Zelle of any kind. All money will be transmitted by a Network Bank.

 c. THE SERVICE IS INTENDED TO SEND MONEY TO FRIENDS, FAMILY AND OTHERS YOU TRUST. YOU SHOULD NOT USE THE SERVICE TO SEND MONEY TO RECIPIENTS WITH WHOM YOU ARE NOT FAMILIAR OR YOU DO NOT TRUST.

2. Eligibility and User Profile

When you enroll to use the Service or when you permit others to whom you have delegated to act on your behalf to use or access the Service, you agree to the terms and conditions of this Agreement. You represent that you have the authority to authorize debits and credits to the enrolled bank account.

You agree that you will not use the Service to send money to anyone to whom you are obligated for tax payments, payments made pursuant to court orders (including court-ordered amounts for alimony or child support), fines, payments to loan sharks, gambling debts or payments otherwise prohibited by law, and you agree that you will not use the Service to request money from anyone for any such payments.

The Service is intended for personal, not business or commercial use. You agree that you will not use the Service to send or receive payments in connection with your business or commercial enterprise. We reserve the right to decline your enrollment if we believe that you are enrolling to use the Service with your business account or to receive business or commercial payments. We further reserve the right to suspend or terminate your use of the Service if we believe that you are using the Service for business or commercial purposes, or for any unlawful purpose.

The Services are offered only to individual residents of the United States who can form legally binding contracts under applicable law. You agree that we may obtain such additional information as we deem reasonably necessary to insure that you are not using our Service in violation of law, including, but not limited to, laws and regulations designed to prevent "money laundering" or the transfer of funds to or from persons or organizations whose accounts are blocked under regulations of the Office of Foreign Asset Control (OFAC) of the United States Treasury Department. Without limiting the foregoing, the Services are not offered to minors unless the minor is using a WSFS Bank Consumer Deposit Account (specified Eligible Transaction Account) in the name of the minor with a parent or guardian as a co-signor or guarantor. The Services can only be used to access personal accounts that are active, in good standing and are eligible for ACH transactions. To sign up for the Services, you must have a United States address, United States telephone number and a social security number, and an active unique email address. Your telephone number must also be unique to you (and cannot be the same as a telephone number provided by another user of the Services). By using the Services, you represent that you meet these requirements and that you agree to be bound by this Agreement

Unless otherwise required by applicable law, we may amend this Agreement and any applicable fees and charges for the Services at any time by posting a revised version on the Site. The revised version will be effective at the time it is posted unless a delayed effective date is required by law and is expressly stated in the revision. Any use of the Services after a notice of change becomes effective or after the posting of a revised version of this Agreement on the Site becomes effective will constitute your agreement to such changes and revised versions. Further, we may, from time to time, revise, update, upgrade or enhance the Services and/or related applications or material, which may render all such prior versions obsolete. Consequently, we reserve the right to terminate this Agreement as to all such prior versions of the Services, and/or related applications and material, and limit access to only the more recent revisions, updates, upgrades or enhancements of the Services.

3. Consent to Share Personal Information (Including Account Information)

Your enrollment in the applicable Service may not be fulfilled if we cannot verify your identity or other necessary information. Through your enrollment in or use of the Service and in accordance with our Privacy Notice, you agree that we reserve the right to obtain personal information about you, including without limitation, financial information and transaction history regarding your specified Eligible Transaction Account. You further understand and agree that we reserve the right to use personal information about you for Zelle's everyday business purposes, such as to maintain your ability to access the Service, to authenticate you when you log in, to send you information about the Service, to perform fraud screening, to verify your identity, to determine your transaction limits, to perform collections, to comply with laws, regulations, court orders and lawful instructions from government agencies, to protect the personal safety of subscribers or the public, to defend claims, to resolve disputes, to troubleshoot problems, to enforce this Agreement, to protect our rights and property, and to customize, measure, and improve the Service and the content and layout of the Site. Additionally, we and Zelle may use your information for risk management purposes and may use, store and disclose your information acquired in connection with this Agreement as permitted by law, including (without limitation) any use to effect, administer or enforce a transaction or to protect against or prevent actual or potential fraud, unauthorized transactions, claims or other liability. We and Zelle shall have the right to retain such data even after termination or expiration of this Agreement for risk management, regulatory compliance, audit reasons and as permitted by applicable law for everyday business purposes. In addition, we and Zelle may use, store and disclose such information acquired in connection with the Service in statistical form for pattern recognition, modeling, enhancement and improvement, system analysis and to analyze the performance of the Service.

4. Privacy and Information Security

We make security and the protection of your information a top priority. You can access our WSFS Bank Privacy Policy on our website, which is incorporated into and made a part of this Agreement by this reference. WSFS Bank's Digital Properties Privacy Policy can also be found on our website.

5. Wireless Operator Data

We or Zelle may use information on file with your wireless operator to further verify your identity and to protect against or prevent actual or potential fraud or unauthorized use of the Service. By using the Service, you authorize your wireless operator (AT & T, Sprint, T-Mobile, US Cellular, Verizon, or any other branded wireless operator) to disclose your mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber status and device details, if available, to our third party service provider, solely to allow verification of your identity and to compare information you have provided to us or to Zelle with your wireless operator account profile information for the duration of our business relationship. 6. Enrolling for the Service

 a. You must provide us with an email address that you regularly use and intend to use regularly (i.e., no disposable email addresses) and a permanent U.S. mobile phone number that you intend to use for an extended period of time (i.e., no "burner" numbers). You may not enroll in the Service with a landline phone number, Google Voice number, or Voice over Internet Protocol.

 b. Once enrolled, you may:

  i. authorize a debit of your account to send money to another User either at your initiation or at the request of that User; and

  ii. receive money from another User either at that User's initiation or at your request, subject to the conditions of the Section below titled "Requesting Money."

 c. If at any time while you are enrolled, you do not send or receive money using the Service for a period of 18 consecutive months, we may contact you and/or take other steps to confirm that the U.S. mobile phone number or email address that you enrolled still belongs to you. If we are unable to confirm that you are the owner of the mobile phone number or email address, then you understand that we may cancel your enrollment and you will not be able to send or receive money with the Service until you enroll again.

 d. Once enrolled, a Z logo will appear on your profile picture for each U.S. mobile number and/or email address that you have enrolled with Zelle. The Z logo will be displayed to other Users to aid them in determining which of your U.S mobile numbers or email addresses should be used to send money with Zelle. If a User sends you money using a different U.S. mobile number or email address that they may have for you (one that is not already enrolled), you will receive a message with instructions on how to enroll with Zelle.

7. Consent to Emails and Automated Text Messages

By participating as a User, you represent that you are the owner of the email address, mobile phone number, and/or other alias you enrolled, or that you have the delegated legal authority to act on behalf of the owner of such email address, mobile phone number and/or other alias to send or receive money as described in this Agreement. You consent to the receipt of emails or text messages from us, from Zelle, from other Users that are sending you money or requesting money from you, and from other Network Banks or their agents regarding the Services or related transfers between Network Banks and you. You agree that we may, Zelle may or either of our agents may use automatic telephone dialing systems in connection with text messages sent to any mobile phone number you enroll. You further acknowledge and agree:

 a. You are responsible for any fees or other charges that your wireless carrier may charge for any related data, text or other message services, including without limitation for short message service. Please check your mobile service agreement for details or applicable fees.

 b. You will immediately notify us if any email address or mobile phone number you have enrolled is (i) surrendered by you, or (ii) changed by you.

 c. In the case of any messages that you may send through either us or Zelle or that we may send or Zelle may send on your behalf to an email address or mobile phone number, you represent that you have obtained the consent of the recipient of such emails or automated text messages to send such emails or text messages to the recipient. You understand and agree that any emails or text messages that we send or that Zelle sends on your behalf may include your name.

 d. Your wireless carrier is not liable for any delay or failure to deliver any message sent to or from us or Zelle, including messages that you may send through us or through Zelle or that we may send or Zelle may send on your behalf.

 e. To cancel text messaging from us, send STOP to 20736. For help or information regarding text messaging, send HELP to 20736 or contact our customer service at 1-888-WSFSBANK or by visiting WSFSBank.com. You expressly consent to receipt of a text message to confirm your "STOP" request.

8. Receiving Money; Money Transfers by Network Banks

Once a User initiates a transfer of money to your email address or mobile phone number enrolled with the Service, you have no ability to stop the transfer. By using the Service, you agree and authorize us to initiate credit entries to the bank account you have enrolled.

Most transfers of money to you from other Users will occur within minutes. There may be other circumstances when the payment may take longer. For example, in order to protect you, us, Zelle and the other Network Banks, we may need or Zelle may need additional time to verify your identity or the identity of the person sending the money. We may also delay or block the transfer to prevent fraud or to meet our regulatory obligations. If we delay or block a payment that you have initiated through a request for money, we will notify you in accordance with your User preferences (i.e. email, push notification).

If you are receiving a payment from a business or government agency, your payment will be delivered in accordance with both this Agreement and the procedures of the business or government agency that is sending you the payment.

9. Sending Money; Debits by Network Banks

You may send money to another User at your initiation or in response to that User's request for money. You understand that use of this Service by you shall at all times be subject to (i) this Agreement, and (ii) your express authorization at the time of the transaction for us to initiate a debit entry to your bank account. You understand that when you send the payment, you will have no ability to stop it. If the person you sent money to has already enrolled with Zelle, either in the Zelle mobile app or with a Network Bank, the money is sent directly to their bank account (except as otherwise provided below) and may not be canceled or revoked.

In most cases, when you are sending money to another User, the transfer will occur in minutes; however, there are circumstances when the payment may take longer. For example, in order to protect you, us, Zelle and the other Network Banks, we may need additional time to verify your identity or the identity of the person receiving the money. If you are sending money to someone who has not enrolled as a User with Zelle, either in the Zelle mobile app or with a Network Bank, they will receive a text or email notification instructing them on how to enroll to receive the money. You understand and acknowledge that a person to whom you are sending money and who is not enrolling as a User may fail to enroll with Zelle, or otherwise ignore the payment notification, and the transfer may not occur.

The money may also be delayed or the transfer may be blocked to prevent fraud or comply with regulatory requirements. If we delay or block a payment that you have initiated, we will notify you in accordance with your User preferences (i.e. email, push notification).

We have no control over the actions of other Users, other Network Banks or other financial institutions that could delay or prevent your money from being delivered to the intended User.

10. Liability

Neither we nor Zelle shall have liability to you for any transfers of money, including without limitation, (i) any failure, through no fault of us or Zelle to complete a transaction in the correct amount, or (ii) any related losses or damages. Neither we nor Zelle shall be liable for any typos or keystroke errors that you may make when using the Service.

THE SERVICE IS INTENDED FOR SENDING MONEY TO FAMILY, FRIENDS AND OTHERS WHOM YOU TRUST. YOU SHOULD NOT USE ZELLE TO SEND MONEY TO PERSONS WITH WHOM YOU ARE NOT FAMILIAR OR YOU DO NOT TRUST. ZELLE DOES NOT OFFER A PROTECTTION PROGRAM FOR AUTHORIZED PAYMENTS MADE THROUGH THE SERVICE (FOR EXAMPLE, IF YOU DO NOT RECEIVE THE GOODS OR SERVICES THAT YOU PAID FOR, OR THE GOODS OR SERVICES THAT YOU RECEIVED ARE DAMAGED OR ARE OTHERWISE NOT WHAT YOU EXPECTED).

THE FOREGOING SHALL CONSTITUTE YOUR EXCLUSIVE REMEDIES AND THE ENTIRE LIABILITY OF US AND OUR AFFILIATES AND ZELLE AND THE EMPLOYEES AND CONTRACTORS OF EACH OF THESE, FOR THE SERVICE AND THE PORTION OF THE SITE THROUGH WHICH THE SERVICE IS OFFERED. YOU ACKNOWLEDGE AND AGREE THAT FROM TIME TO TIME, THE SERVICE MAY BE DELAYED, INTERRUPTED OR DISRUPTED PERIODICALLY FOR AN INDETERMINATE AMOUNT OF TIME DUE TO CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ANY INTERRUPTION, DISRUPTION OR FAILURE IN THE PROVISION OF THE SERVICE, WHETHER CAUSED BY STRIKES, POWER FAILURES, EQUIPMENT MALFUNCTIONS INTERNET DISRUPTION OR OTHER REASONS. IN NO EVENT SHALL WE OR OUR AFFILIATES OR ZELLE OR THE EMPLOYEES OR CONTRACTORS OF ANY OF THESE, BE LIABLE FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE CAUSED BY OR ARISING OUT OF ANY SUCH DELAY, INTERRUPTION, DISRUPTION OR SIMILAR FAILURE. IN NO EVENT SHALL WE OR OUR AFFILIATES OR ZELLE OR THE EMPLOYEES OR CONTRACTORS OF ANY OF THESE, BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING LOSS OF GOODWILL OR LOST PROFITS (EVEN IF ADVISED OF THE POSSIBILITY THEREOF) ARISING IN ANY WAY OUT OF THE INSTALLATION, USE, OR MAINTENANCE OF THE SERVICE OR THE PORTION OF THE SITE THROUGH WHICH THE SERVICE IS OFFERED, EVEN IF SUCH DAMAGES WERE REASONABLY FORESEEABLE AND NOTICE WAS GIVEN REGARDING THEM. IN NO EVENT SHALL WE OR OUR AFFILIATES OR ZELLE OR THE EMPLOYEES OR CONTRACTORS OF ANY OF THESE BE LIABLE FOR ANY CLAIM ARISINGFROM OR RELATED TO THE SERVICE OR THE PORTION OF THE SITE THROUGH WHICH THE SERVICE IS OFFERED THAT YOU DO NOT STATE IN WRITING IN A COMPLAINT FILED IN A COURT PROCEEDING AS DESCRIBED ABOVE WITHIN TWO (2) YEARS OF THE DATE THAT THE EVENT GIVING RISE TO THE CLAIM OCCURRED. THESE LIMITATIONS WILL APPLY TO ALL CAUSES OF ACTION, WHETHER ARISING FROM BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY. OUR AGGREGATE LIABILITY AND THE AGGREGATE LIABILITY OF OUR AFFILIATES AND ZELLE AND THE EMPLOYEES AND CONTRACTORS OF EACH OF THESE, TO YOU AND ANY THIRD PARTY FOR ANY AND ALL CLAIMS OR OBLIGATIONS RELATING TOTHIS AGREEMENT SHALL BE LIMITED TO DIRECT OUT OF POCKET DAMAGES UP TO A MAXIMUM OF $500 (FIVE HUNDRED DOLLARS). SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

We do not have control of, or liability for, any products or services that are paid for with the Zelle. We also do not guarantee the identity of any user of Zelle (including but not limited to recipients to whom you send payments).

EXCEPT AS OTHERWISE PROVIDED HEREIN, AND SUBJECT TO APPLICABLE LAW, WSFS MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE SERVICE. WSFS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SERVICE DESCRIBED OR PROVIDED. ZELLE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

EXCEPT AS OTHERWISE PROVIDED HEREIN AND SUBJECT TO APPLICABLE LAW, IN NO EVENT WILL WSFS, ITS OWNERS, DIRECTORS, OFFICERS, AGENTS OR NETWORK BANKS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SERVICE; (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES DESCRIBED OR PROVIDED; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICES DESCRIBED OR PROVIDED, EVEN IF ZELLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH ZELLE'S SERVICE OR WITH THE TERMS OF THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

11. Send Limits

There are limits on the amount of money you can send or receive through our Services. Your limits may be adjusted from time-to-time at our sole discretion. We also reserve the right to select the method in which to remit funds on your behalf, and the method to return funds to you in the event that your Eligible Transaction Account is closed or otherwise unavailable to us. These payment methods may include, but may not be limited to, an electronic payment. We do not limit the number of transfers you may make; however, you may not make transfers in excess of $500 at one time or $1,000 in a day. We may from time to time for security and risk management reasons modify the limit, frequency, and the dollar amount of transfers you can make using the Service. The limits of the frequency and dollar amount of transfers are solely for our protection.

12. Requesting Money

You may request money from another User. You understand and acknowledge that Users to whom you send payment requests may reject or ignore your request. Neither we nor Zelle guarantee that you will receive money from other Users by sending a payment request, or that you will receive the amount that you request. Neither we or Zelle accept responsibility if the other User rejects or ignores your request, or sends you an amount that is less than you request. If a User ignores your request, we may decide or Zelle may decide, in our sole discretion, that we will not send a reminder or repeat request to that User.

By accepting this Agreement, you agree that you are not engaging in the business of debt collection by attempting to use the Service to request money for the payment or collection of an overdue or delinquent debt; to request money that is owed to another person; or to collect any amounts that are owed pursuant to a court order. You agree to indemnify, defend and hold harmless Zelle, its owners, directors, officers agents and Network Banks from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorney's fees, resulting from or arising out of any request for money that you send that is related to overdue or delinquent amounts.

You agree to receive money requests from other Users, and to only send requests for legitimate and lawful purposes. Requests for money are solely between the sender and recipient and are not reviewed or verified by us or by Zelle. Neither we nor Zelle assume responsibility for the accuracy or legality of such requests and do not act as a debt collector on your behalf or on behalf of the sender of a request for money.

We reserve the right, but assume no obligation, to terminate your ability to send requests for money in general, or to specific recipients, if we deem such requests to be potentially unlawful, abusive, offensive or unwelcome by the recipient.

13. Transaction Errors

It is your sole responsibility and you agree to ensure that the contact information in your user profile is current and accurate. This includes, but is not limited to, name, physical address, phone numbers and email addresses. Depending on the Service, changes may be able to be made within the user interface of the Service or by contacting customer service as set forth above. We are not responsible for any payment processing errors or fees incurred if you do not provide accurate Eligible Transaction Account, Payment Instructions or contact information.

14. Your Liability for Unauthorized Transfers

Immediately following your discovery of an unauthorized Payment Instruction, you shall communicate with customer service in the manner set forth above. You acknowledge and agree that time is of the essence for such situations. If you tell us within two (2) Business Days after you discover your password or other means to access your account through which you access the Service has been lost or stolen, your liability is no more than $100.00 should someone access your account without your permission. If you do not tell us within two (2) Business Days after you learn of such loss or theft, and we can prove that we could have prevented the unauthorized use of your password or other means to access your account if you had told us, you could be liable for as much as $500.00. If your monthly WSFS Bank statement contains payments that you did not authorize, you must tell us at once. If you do not tell us within sixty (60) days after the statement was sent to you, you may lose any amount transferred without your authorization after the sixty (60) days if we can prove that we could have stopped someone from taking the money had you told us in time. If a good reason (such as a long trip or a hospital stay) prevented you from telling us, we may in our sole discretion extend the period.

15. Liability for Failure to Complete Transfers

In using the Services, you are requesting us to attempt to make payments for you from your Eligible Transaction Account. If we are unable to complete the Payment Instruction for any reason associated with your Eligible Transaction Account (for example, there are insufficient funds in your Eligible Transaction Account, or the Payment Instruction would exceed the discretionary overdraft or overdraft protection limit of your Eligible Transaction Account, to cover the payment), the Payment Instruction may not be completed. If the transaction is returned for insufficient funds or uncollected funds, in general the transaction will be resubmitted for processing a second time. In some instances, you will receive a return notice from us. In each such case, you agree that:

You will reimburse us or Zelle immediately upon demand the amount of the Payment Instruction if we have delivered the payment but there are insufficient funds in, or insufficient overdraft credits associated with, your Eligible Transaction Account to allow us to complete the debit processing; b) We may assess a fee to you if the Payment Instruction or a resubmission of the same Payment Instruction cannot be debited because you have insufficient funds in your Eligible Transaction Account, or the transaction would exceed the discretionary overdraft or overdraft protection limit of your Eligible Transaction Account, to cover the payment, or if we cannot otherwise collect the funds from you; the fee amount will be as set forth in your fee schedule from us your account agreement with us; c) To the extent permitted by applicable law, you agree to reimburse us for any fees and costs we incur in attempting to collect any amount you owe us under this Section 1.19; and d) We and Zelle are authorized to report the facts concerning the return to any credit reporting agency.

16. Fees

Fees may apply for your use of Zelle. Any fee you will be charged will be disclosed before you initiate a transfer transaction subject to the fee. Depending on the types of accounts and services you keep with us, fees may be waived. We may change the fees that apply to the Service, and the circumstances under which the fees may be waived, at any time for any reason. We will provide you with reasonable notice of such change as required by law. From time to time, we may add or modify the Service and we may charge you additional or different fees in consideration for providing the new or modified Service to you. You understand and agree that we may from time to time impose additional charges in connection with your Service transactions. We will notify you of such fee in advance of the Service transaction as required by law. If you choose to proceed with the transaction, you authorize us to debit your account in the amount indicated.

17. Use of Our On-line Banking Site and/or Mobile App

You agree to access this website and/or mobile app in compliance with our Terms of Use, which are available at wsfsbank.com/zelle and incorporated into and made part of this Agreement by this reference.

18. Cancellation of the Service

If you wish to cancel the Services, you may contact us as set forth in above. Any payment(s) that have begun processing before the requested cancellation date will be processed by us. Cancellation shall affect your liability or obligations under this Agreement.

19. Right to Terminate Access

You agree that we may terminate or suspend your use of the Service at any time and for any reason or no reason. Termination shall not affect your liability or obligations under this Agreement.

20. Disclaimer of Warranties (Zelle)

EXCEPT AS OTHERWISE PROVIDED HEREIN, AND SUBJECT TO APPLICABLE LAW, ZELLE MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE SERVICE. ZELLE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SERVICE DESCRIBED OR PROVIDED. ZELLE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

21. Disclaminer of Warranties (WSFS)

EXCEPT AS OTHERWISE PROVIDED HEREIN, AND SUBJECT TO APPLICABLE LAW, WSFS BANK MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE SERVICE. WSFS BANK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SERVICE DESCRIBED OR PROVIDED. WSFS BANK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

22. Limitation of Liability

EXCEPT AS OTHERWISE PROVIDED HEREIN AND SUBJECT TO APPLICABLE LAW, IN NO EVENT WILL ZELLE, ITS OWNERS, DIRECTORS, OFFICERS, AGENTS OR NETWORK BANKS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SERVICE; (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES DESCRIBED OR PROVIDED; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICES DESCRIBED OR PROVIDED, EVEN IF ZELLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH ZELLE'S SERVICE OR WITH THE TERMS OF THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

IN THOSE STATES WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES MAY NOT APPLY, ANY LIABILITY OF ZELLE, ITS OWNERS, DIRECTORS, OFFICERS AND AGENTS OR THE NETWORK BANKS LIABILITY IN THOSE STATES IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED ONE HUNDRED DOLLARS ($100.00).

23. Indemnification (Zelle)

You acknowledge and agree that you are personally responsible for your conduct while using the Service, and except as otherwise provided in this Agreement, you agree to indemnify, defend and hold harmless Zelle, its owners, directors, officers, agents and Network Banks from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys' fees, resulting from or arising out of your use, misuse, errors, or inability to use the Service, or any violation by you of the terms of this Agreement.

24. Indemnification (WSFS)

You acknowledge and agree that you are personally responsible for your conduct while using the Service, and except as otherwise provided in this Agreement, you agree to indemnify, defend and hold harmless WSFS Bank, its owners, directors, officers, agents, affiliates, and Network Banks from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys' fees, resulting from or arising out of your use, misuse, errors, or inability to use the Service, or any violation by you of the terms of this Agreement.

25. Governing Law; Choice of Law; Severability

This Agreement shall be governed by, and construed in accordance with, the laws of the State of Delaware without regard to its conflict of laws rules.

26. Entire Agreement

You agree that this Agreement is the complete and exclusive statement of the agreement between us, sets forth the entire understanding between us and you with respect to the Service and the portion of the Site through which the Service is offered and supersedes any proposal or prior agreement, oral or written, and any other communications between us. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The captions hereof are for convenience only and shall not control or affect the meaning or construction of any of the provisions of this Agreement. If there is a conflict between the terms of this Agreement and something stated by an employee, agent, or contractor of ours (including but not limited to its customer care personnel), the terms of this Agreement will prevail.

27. Miscellaneous

Subject to the terms of this Agreement, the Services are generally available 24 hours a day, seven days a week with the exception of outages for maintenance and circumstances beyond our or Zelle's control. Live customer service generally will be available Monday through Friday, excluding US bank holidays.
